1. What are the time delays with registering with you on-line?

  • Business Registration (Master Business License) - same day unless provided the end of the day
  • Ontario Incorporation - 24 hours Monday through Friday
  • Federal Incorporation - 72 hours Monday through Friday
  • Nuans (Business Name Search) - 2-5 hours Monday through Friday

3. Incorporate in Ontario or federal?

Both corporate structures give you the advantages of limited liability, continual existence, tax advantages over individual taxation, the ability to change the structure of the directors/officers without having to restructure the corporation.

Federal corporations:
There are three distinct advantages of federal incorporation if it applies to your business

A. The name availability is much stricter federally.
B. The ability to trademark your business name more likely.
C. The ability to register your incorporation in each province.

Usually it is larger companies who view the importance of federally incorporating. If you believe your business will expand, requiring registration in 2 or more provinces, with the ability to trademark the name of your corporation, you may want to consider a federal incorporation.

4. Is it necessary for me to obtain corporate supplies for my corporation?

The minute book is a burgundy, 3 ring binder with a slipcase. It has bylaws, shares, register for officers and directors. This is an organizational tool for your corporation. The corporate seal which is a markmaker seal is sometimes used in loan or lease agreements.

5. What is a nuans?

A nuans is a five page printout that lists corporations, registrations and trademarks similar to your proposed name. It is a mandatory filing with any incorporation in Canada. This protects existing companies.

6. What are by-laws?

By-laws are provided in the incorporation packages with corporate supplies. These basically provide the standard rules and regulations of a corporation.

7. What are shares?

The shares represent the financial pie of the corporation. Once a corporation is incorporated, decisions are made as to the value of each share within the corporation and whether the shares are voting or non voting. The voting shares represent individuals who have input in the decision making of the corporation, the non voting shares do not. To give you an example:

John smith holds 10 shares at $1000.00 each. He is an investor and has been given non-voting shares. His investment in the corporation is $10,000.00
Jane smith holds 5 shares at $1000.00 each. She is a director of the corporation and holds voting shares. Her investment in the corporation is $5000.00
