Incorporation in Canada

Forming a corporation in Canada (Federal Incorporation) gives you the same protections as a provincial incorporation with a few advantages.

• The government fees for incorporation are only $200.00.
• The Examiners with the Federal Government check your corporate name against all corporations, business registrations (Master Business Licences) and trademarks across Canada. This gives even better protection to businesses that already exist and provides the new incorporator with the assurance that the company name is available throughout Canada.
• If at some point you decide you want to register your corporation in Canadian Provinces with your Federal Corporation you will have already ensured the name availability.
• With a Federal Incorporation only 25% of the directors are required to be Canadian Citizens.
• If you are considering a Trade Mark for your corporation name, the availability of the name may be better because of the strict verification of name availability by the Federal Examiners.

The disadvantages of incorporating at the Federal jurisdiction are:

• It takes a day or two longer than a Provincial Incorporation.
• Finding a name that is available can be frustrating. The name really needs to be specific.
• There is a $20 to $50 fee every year for keeping your corporate records up to date even if there are no changes with the corporation.
