Unlike business corporations, with a Professional Incorporation the personal liability associated is not limited through the corporation.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Historically, most professionals have been registered as a Sole Proprietorship. A <a href=\"https:\/\/www.ontariobusinesscentral.ca\/professional-ontario-incorporation-online.php\">Professional Incorporation in Ontario<\/a> is designed specifically for individuals who hold professional designations within the Province of Ontario, including Lawyers, Accountants, Chiropractors and more. Typically, the shareholders of the profession must be listed on the corporation and must be licensed by their governing body. It is always best to refer to your governing body for any naming rules they have regarding Professional Incorporations in Ontario. Generally, the Professional Incorporation must include 3 elements:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">1. Reference to the individual or individuals\u2019 personal name<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ex. John Smith, J. Smith, Smith, etc.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">2. Indicate the professional designation<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ex. Medical, Dentistry, Chiropractic<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">3. Have the legal ending \u201cProfessional Corporation\u201d or \u201cSoci\u00e9t\u00e9 Professionnelle\u201d<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Ex. John Smith Medical Professional Corporation<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Reserving the Name of Your Professional Incorporation<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Incorporations are given name protection within the jurisdictions they are incorporated. This includes Professional Incorporations, which must complete a <a href=\"https:\/\/www.ontariobusinesscentral.ca\/blog\/what-is-a-nuans-report\/\">NUANS name reservation<\/a> before the incorporation can be completed. When the NUANS reservation is included with your Professional Incorporation package, Ontario Business Central will first pre-search the name and send the results for your review. Once you have had the chance to review results and approve the name, we will process the NUANS name reservation and proceed with the incorporation documents.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Partial Limitation on Limited Liability<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A significant distinction between a standard OBCA corporation and a Professional Corporation is the partial limitation on limited liability. Normally, a corporation protects its shareholders from being personally liable for the corporation&#8217;s obligations. However, in a Professional Corporation, this limited liability only applies in certain situations. Generally, shareholders are responsible for the corporation\u2019s debts only up to the amount of their investment. In the context of professional liability, the actions of a Professional Corporation are considered the actions of its shareholders, employees, or agents. This means that a member\u2019s liability for professional malpractice is not diminished by the fact that they practice their profession through a Professional Corporation.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Professionals are jointly and severally liable alongside the Professional Corporation for any claims of professional negligence related to errors or omissions that occurred while they were shareholders of the corporation. As a result, professionals who are shareholders remain liable not only for their own mistakes but also for the negligence or misconduct of other professionals employed by the corporation. This liability structure is similar to what would apply if the professional were practicing within a partnership.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Advantages of a Professional Corporation<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Operating through a Professional Corporation offers several benefits for professionals. The primary advantages include potential tax benefits such as deferral, income splitting, and the use of the lifetime capital gains exemption. Additionally, Professional Corporations provide limited protection from creditors, flexibility in how compensation is structured, and the ability to cover non-deductible expenses through the corporation.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Tax Deferral<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Establishing a Professional Corporation is particularly advantageous for professionals who generate more income than they immediately need. Surplus earnings can be retained within the corporation, where they are likely taxed at a lower rate, allowing these funds to be reinvested in assets like stocks, bonds, or GICs. This strategy enables professionals to build additional wealth within their Professional Corporation.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Capital Gains Exemption<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Professionals who have the opportunity to sell their practices can benefit from the Capital Gains Exemption. If the Professional Corporation has accrued value, shareholders can sell their shares and take advantage of the Capital Gains Exemption, allowing them to receive up to $971,190 (as of the date of this article) in capital gains without incurring taxes.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Income Splitting<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Although most Professional Corporations restrict share ownership to licensed professionals, some, such as those for dentists and doctors, can utilize income splitting. Income splitting for Professional Corporations can be complex, and it is essential to consult with a professional tax advisor or lawyer to avoid triggering attribution rules.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Disadvantages of a Professional Corporation<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">The drawbacks of forming a Professional Corporation include the additional costs and administrative requirements. Professional Corporations often incur higher legal and accounting fees, both during the initial setup and on an ongoing basis. These include:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Submission of a <\/strong><a href=\"https:\/\/www.ontariobusinesscentral.ca\/corporate-search-options.php\"><strong>Corporate Profile Report or Entity Report<\/strong><\/a><strong>:<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Once a year, the Professional Corporation is required to submit a Corporate Profile Report or Entity Report to the relevant governing body. This report provides up-to-date information about the corporation, including details on directors, officers, and any changes to the registered office address. It ensures that the governing body has accurate records and that the corporation complies with professional regulations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>Completion of the<\/strong><a href=\"https:\/\/www.ontariobusinesscentral.ca\/forms\/ontario-annual-return.php\"><strong> Ontario Annual Return<\/strong><\/a><strong>:<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In addition to the report submitted to the governing body, the Professional Corporation must also file an Ontario Annual Return. This is a legal requirement for all corporations in Ontario and involves updating the provincial government on the corporation\u2019s current information. The Annual Return helps maintain the corporation\u2019s legal status and ensures that all corporate records are up to date with the Ministry of Government and Consumer Services.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">These yearly requirements are essential for maintaining the Professional Corporation\u2019s legal standing and compliance with both the governing body and the provincial authorities. Failure to meet these obligations can result in penalties or loss of the corporation\u2019s good standing. It will have continual existence until it is canceled or dissolved.<\/li>\n\n\n\n<li><strong>Adding Operating Name\/s:<\/strong> If you wish to operate more than one business or multiple locations, you can add additional business names under your existing corporation.<\/li>\n\n\n\n<li><strong>Potential Tax Advantages:<\/strong> There may be tax advantages to incorporation. A corporation in most cases has lower tax levels than any individual tax bracket, and taxes are filed separately from the individuals on file for the corporation.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Disadvantages of a Professional Incorporation<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Compliance:<\/strong> Governing bodies will typically request annual requirements to be met in order for the Professional Incorporation to be in compliance. Generally the governing body wants to receive a Certificate of Status or Profile Report annually to ensure the corporation is still in good standing.<\/li>\n\n\n\n<li><strong>Costs:<\/strong> Start up costs for a corporation can be higher than other options for registering a business, which can be approximately $700.<\/li>\n\n\n\n<li><strong>Tax Filing: <\/strong>Corporations are considered separate entities, and as such must file separate tax returns. The individual shareholder must file his\/her personal tax return along with a secondary tax return for the corporation.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Who Can Be a Director of an Ontario Professional Incorporation?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">For Professional Incorporations, governing bodies will generally restrict who is able to be a director to those who are licensed within that same profession. For the most part, shareholders are limited to these same restrictions. It is always advised to confirm any director and shareholder restrictions before completing your Professional Incorporation.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What Information is Required to Create a Professional Incorporation in Ontario?<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Head office address<\/li>\n\n\n\n<li>Legal names of directors (please provide as listed on photo ID, such as Driver\u2019s Licence)<\/li>\n\n\n\n<li>Address\/es for directors<\/li>\n\n\n\n<li>Share structure (examples may be available through your governing body)<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Share Structure for a Professional Incorporation<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Generally, Sections 5 and 8 for the share structure of a Professional Incorporation are different from other incorporations, and will be set out by the governing body of each profession. Where other incorporations would not have limitations on business activity, Section 5 for a Professional Incorporation will usually restrict the business activity to only the profession of the incorporation. Section 8 of the share structure will outline the restrictions on who is able to hold shares in the Professional Incorporation.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">What is a Certificate of Authorization?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A Certificate of Authorization is a letter confirming from the governing body of any profession in Ontario that the individual has met its obligations to complete a Professional Incorporation within the province of ontario<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">How Long Does it Take to Complete an Ontario Professional Incorporation?<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">Ontario Business Central can have your Professional Incorporation completed 1-3 business days.
