There are several major differences between registering a business or <a href=\"https:\/\/www.ontariobusinesscentral.ca\/blog\/what-is-required-to-incorporate-in-canada\/\">incorporating in Canada<\/a>. Overall, each jurisdiction provides the same provisions, restrictions and limitations whether you choose to register a business in Alberta, Ontario or if you wish to incorporate in Manitoba or Canada.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The primary differences between these two options of registering or incorporation to operate your business are as follows.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Limited Personal Liability<\/h3>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><tbody><tr><td><figure><img decoding=\"async\" class=\"size-full wp-image-3003 alignleft\" title=\"green check mark\" src=\"https:\/\/www.ontariobusinesscentral.ca\/blog\/wp-content\/uploads\/2019\/11\/green-check.png\" alt=\"green check mark\" width=\"25\" height=\"25\"><\/figure><strong>Incorporated Business<\/strong><\/td><td><figure><img decoding=\"async\" class=\"alignleft size-full wp-image-3002\" title=\"red x\" src=\"https:\/\/www.ontariobusinesscentral.ca\/blog\/wp-content\/uploads\/2019\/11\/redX.png\" alt=\"red x\" width=\"25\" height=\"25\"><\/figure><strong>Registered Business<\/strong><\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\">A registered business is attached to the individuals who own the business with respect to the risk of the business. If the business has risk of liability, the owners of the business incur that risk and responsibility.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An incorporated business is its own entity, separate from those who are shareholders or owners of the corporation. This allows others within the Province you register to register or incorporate a same or similar named business to your business name.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An Incorporated business provides name protection for your exact business name within the Province you incorporate within. Outside of business expenses from the business, there is little flexibility within the tax system with Revenue Canada. The business on its own cannot purchase properties, stocks, bonds or other investment opportunities.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An Incorporated is its own entity and therefore has the availability to issue either income or payments to the owners at the shareholders discretion. <a href=\"https:\/\/www.ontariobusinesscentral.ca\/blog\/incorporation-and-taxation\/\">The incorporated business has the lowest tax rate available<\/a> and there are opportunities to maintain lower tax revenues if the corporation is able to hold funds instead of distributing to its shareholders. The ability to add partners, change the business name, or change the structure of the business are either limited or not available.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An Incorporated business can make any corporate change to its structure over time. The availability to <a href=\"https:\/\/www.ontariobusinesscentral.ca\/forms\/ontario-federal-corporation-address-change-annual-returns.php\">change the personal or business addresses, add\/remove or modify the directors or officers of the corporation<\/a>, <a href=\"https:\/\/www.ontariobusinesscentral.ca\/forms\/change-business-name-or-structure-ontario-canada.php\">change the name, change the structure<\/a>, or to add a <a href=\"https:\/\/www.ontariobusinesscentral.ca\/forms\/business-registration.php\">secondary business name<\/a> are all accessible with an incorporated company.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Ability for new Canadians to operate the business who are not a Canadian Citizen or Permanent Resident<\/h3>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><tbody><tr><td><figure><img decoding=\"async\" class=\"alignleft size-full wp-image-3002\" title=\"red x\" src=\"https:\/\/www.ontariobusinesscentral.ca\/blog\/wp-content\/uploads\/2019\/11\/redX.png\" alt=\"red x\" width=\"25\" height=\"25\"><\/figure><strong>Incorporated Business<\/strong><\/td><td><figure><img decoding=\"async\" class=\"size-full wp-image-3003 alignleft\" title=\"green check mark\" src=\"https:\/\/www.ontariobusinesscentral.ca\/blog\/wp-content\/uploads\/2019\/11\/green-check.png\" alt=\"green check mark\" width=\"25\" height=\"25\"><\/figure><strong>Registered Business<\/strong><\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\">A registered business is available to those who do not hold a Canadian Citizenship or Permanent Residents status in Canada to operate a business.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Most incorporated businesses in Canada require a minimum of 25% of the directors and shareholders to be Canadian Citizens or Permanent Residents.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The exemptions to this are the provinces of both <a href=\"https:\/\/www.ontariobusinesscentral.ca\/incorporate-in-british-columbia.php\">British Columbia<\/a> (B.C.)&nbsp; and <a href=\"https:\/\/www.ontariobusinesscentral.ca\/incorporation-online.php\">Ontario<\/a> where there is no requirement for Canadian status to incorporate or to be a shareholder.&nbsp; In either jurisdiction, a single director&nbsp; or multiple directors where no one has status in Canada can incorporate within either province.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Once the business has been established, there is no need for renewal or re-registration<\/h3>\n\n\n\n<figure class=\"wp-block-table\"><table class=\"has-fixed-layout\"><tbody><tr><td><figure><img decoding=\"async\" class=\"size-full wp-image-3003 alignleft\" title=\"green check mark\" src=\"https:\/\/www.ontariobusinesscentral.ca\/blog\/wp-content\/uploads\/2019\/11\/green-check.png\" alt=\"green check mark\" width=\"25\" height=\"25\"><\/figure><strong>Incorporated Business<\/strong><\/td><td><figure><img decoding=\"async\" class=\"alignleft size-full wp-image-3002\" title=\"red x\" src=\"https:\/\/www.ontariobusinesscentral.ca\/blog\/wp-content\/uploads\/2019\/11\/redX.png\" alt=\"red x\" width=\"25\" height=\"25\"><\/figure><strong>Registered Business<\/strong><\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p class=\"wp-block-paragraph\">A registered business, in most circumstances, requires renewal at some point after the original registration. Each Province has different timeframes for when a business registration is required to be renewed. There are additional fees each time the business is renewed or re-registered.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">An Incorporated business is continual in all Provinces and never requires renewal. To register a business allows an individual or individuals to operate a business inexpensively. It also limits the opportunities available with the more expensive option of incorporating.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">It is always recommended to seek out professionals who may advise you on what option is better for your particular circumstance.
