In Ontario, this structure allows individuals to operate under their own name or a registered business name, with business income reported on the owner\u2019s personal tax return and no separation of personal liability.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A Sole Proprietorship is the fastest and most affordable way to start a business in Ontario. It\u2019s perfect for launching a side hustle, freelancing, or turning a passion into income. You operate under your personal name or register a business name to open a bank account and issue invoices. Business income is reported on your personal tax return, and you\u2019re personally responsible for any debts or liabilities. There\u2019s no legal separation between you and the business, which means lower startup costs but higher personal risk. Many entrepreneurs use Sole Proprietorships to start small before moving to incorporation later on.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">How a Sole Proprietorship Works<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">When you register a Sole Proprietorship, you and your business are legally the same entity. Some of the advantages of sole ownership are:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>It\u2019s the least expensive way to start a business.<\/li>\n\n\n\n<li>You can register quickly, often the same day.<\/li>\n\n\n\n<li>Ongoing paperwork and reporting requirements are minimal.<\/li>\n\n\n\n<li>You maintain full control over business decisions.<\/li>\n<\/ul>\n\n\n\n<h2 class=\"wp-block-heading\">Disadvantages of a Sole Proprietorship<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\">A Sole Proprietorship may not be the right fit for every situation. For example, \u201cJohn Smith\u201d could not operate a business as \u201cJohn Smith\u2019s Restaurant\u201d without a registration. If you use your own name without extra words, you don\u2019t need to register. In Ontario, you can register a Sole Proprietorship under the <a href=\"https:\/\/www.ontario.ca\/laws\/statute\/90b17\" target=\"_blank\" rel=\"noopener\">Business Name Act<\/a>. This individual handles all legal and financial responsibilities for the business.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Under the sole ownership definition, business owners can work alone as a freelancer or hire others and subcontract work. The ownership of the business must be only one person, but it doesn\u2019t limit you from hiring employees. We define sole owner as the individual who has complete control and responsibility for the business.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In Canada, Sole Proprietorship is one of the three most common business structures, along with General Partnership and Incorporation. Each has its own requirements for operations, accounting, taxes, and legal matters.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Things to Consider When Registering a Sole Proprietorship<\/h2>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Business Name \u2013 <\/strong>No name protection for the name of the business.<\/li>\n\n\n\n<li><strong>Personal Liability \u2013 <\/strong>As the business owner, you are responsible for any personal or property damage caused by the business.<\/li>\n\n\n\n<li><strong>Taxation \u2013<\/strong> Including business revenue on your personal tax return can result in higher taxes compared to incorporating the business.<\/li>\n\n\n\n<li><strong>Inflexible \u2013<\/strong> A sole proprietorship in Ontario can only change the business or individual address and business activity.<\/li>\n\n\n\n<li><strong>Raise Capital \u2013<\/strong> Limited access to credit.<\/li>\n\n\n\n<li><strong>Perception \u2013 <\/strong>Viewed as a small organization by other businesses and suppliers.<\/li>\n\n\n\n<li><strong>Restrictions \u2013<\/strong> Must choose a business name that doesn\u2019t imply multiple owners and only uses your legal name.<\/li>\n\n\n\n<li><strong>Structure \u2013 <\/strong>Another business cannot operate under a Sole Proprietorship.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Does a Sole Proprietorship Have Name Protection?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A Sole Proprietorship does not have business name protection. This means that anyone can use the same or similar name for their business. Name protection may be a key factor when choosing the correct business structure for you. If you would like name protection, you can incorporate or trademark the business name to protect it.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">What Liabilities Are Sole Proprietors Subject To?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A Sole Proprietorship offers no separation between the business and the owner. You are personally liable for any risks or debts associated with your Sole Proprietorship. The limited liability protection only exists if you incorporate a business.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A corporation\u2019s liability protection can shield the business owners\u2019 personal assets if the business faces legal action. Corporations are a separate legal entity from the owners and shareholders.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If you decide that a Sole Proprietorship is right for you, consider business insurance to protect your personal assets.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Do Sole Proprietors Pay Income Tax?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">As a Sole Proprietor, you must report your business\u2019s revenue on your personal income tax return. There may be tax deductions you can claim as a small business owner, however corporations offer greater tax advantages. Tracking business expenses carefully helps you manage your finances and maximize tax credits. Plan to set aside 30% of your revenue to cover your tax obligations.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You need a GST\/HST number for sales taxes only if your business revenue reaches $30,000. Until then, it\u2019s optional to set up a tax account with the Canada Revenue Agency.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Can I Make Changes to a Sole Proprietorship Registration?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Sole Proprietorships only allow for certain updates to the registration. You can update the business activity or the address for the business\/business owner by filing an amendment.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">At no time can you change the business name or the business owner\u2019s name to a new owner. If you needed to make changes to the name or owner, you would need to register again as a new business.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Can a Sole Proprietor Apply For Credit?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A Sole Proprietorship cannot apply for business credit, loans, lines of credit, or credit cards separate from the owner. If you take out an auto loan, it will be in your name, not the business name. You can open business bank accounts under the business name, but your banking options are limited.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Sole Proprietorships rarely access venture capital or economic development funds from local governments. Combining personal and business assets makes it hard to value the business independently. If you plan to buy commercial real estate, you\u2019ll need to do so personally. Starting a Sole Proprietorship may be inexpensive, but it offers less potential for growth compared to Corporations.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Viewed as a Small Business<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">If your business deals directly with other businesses, they often prefer to work with companies that have liability protection. Liability protection only applies to incorporated businesses. Generally, the business community views incorporated businesses as more serious and credible. They might see a Sole Proprietorship as meaning a higher risk.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Restrictions on Sole Proprietorship Business Name<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">A single owner business cannot use words that indicate that the business is larger than one business owner. Words like \u2018group,\u2019 \u2018associates,\u2019 or \u2018consultants\u2019 suggest the owner isn\u2019t a sole proprietor, meaning the names would be rejected or canceled. A business name also cannot include two people\u2019s names, like \u2018Tim &amp; Rob\u2019s Bakery,\u2019 as it suggests multiple owners.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You cannot use legal endings such as Limited, Ltd., Incorporation, Inc., Corporation or Corp. These legal endings are available only to incorporated businesses. This secondary business is often called a trade name or Doing Business As name (DBA).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">You cannot register a second business under your Sole Proprietorship registration. However, you can register multiple Sole Proprietorships in your name. Each one can have its own business name and bank account as separate unincorporated businesses.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any income from your secondary businesses would be taxed as personal income. This applies to both Sole Proprietorships and Partnerships. If you start a second business as a General Partnership, you can\u2019t link it to your Sole Proprietorship. The income will still be taxed as personal income, which can complicate your business administration.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Sole Proprietorship FAQ<\/h2>\n\n\n\n<h3 class=\"wp-block-heading\">Do I Have to Register My Sole Proprietorship in Ontario?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The Sole Proprietorship when registered, should be completed in the Province or Territory where the business will operate. The only exception to the need to register is when you are using your first and last name as the business name without any additional words.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">How Long Does the Sole Proprietorship Last in Ontario?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">In Ontario, the registration is valid for 5 years. At the 5 year mark, the business needs to be renewed or it will expire 60 days after the 5 year anniversary. When the registration expires, you cannot revive the registration or reactivate it.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">What Are the Tax Implications of a Sole Proprietorship?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">The Sole Proprietorship will automatically be added to any personal income made from the individual owner. Whether the Sole Proprietorship is your full time or part time employment revenue, individuals are to provide a <a href=\"https:\/\/www.canada.ca\/en\/revenue-agency\/services\/forms-publications\/forms\/t2125.html\" target=\"_blank\" rel=\"noreferrer noopener\">T2125 Statement of Business or Professional Activities<\/a> along with their <a href=\"https:\/\/www.canada.ca\/en\/revenue-agency\/services\/forms-publications\/forms\/t4.html\" target=\"_blank\" rel=\"noreferrer noopener\">T4 slip<\/a>.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Do Sole Proprietorships Have to Apply for HST?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Until the Sole Proprietorship business earns $30,000.00 within the same 4 quarters combined, the HST application is not mandatory. When the business earns the $30,000.00 after 4 consecutive quarters, the business has met its obligation and must enroll.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">What Does 4 Consecutive Quarters Mean?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">There are 4 quarters per year as follows:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>January 1st to March 31st<\/li>\n\n\n\n<li>April 1st to June 30th<\/li>\n\n\n\n<li>July 1st to Sept 30th<\/li>\n\n\n\n<li>Oct 1st to Dec 31st<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\">Individual taxation is from January 1st to December 31st of each calendar year. The HST doesn\u2019t operate each year but each quarter. As an example, the business may from July of 2024 to June 30 of 2025 earning the $30,000.00 and therefore need to apply for HST shortly after the June 30 of 2025 when it is realized that the business has met the threshold for HST application.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Can I Change From a Sole Proprietorship to a Corporation?<\/h3>\n\n\n\n<p class=\"wp-block-paragraph\">Yes you can at any point change from a Sole Proprietorship to a Corporation.
