Terms and Conditions
Customer’ refers to any person, firm or other entity who receives any and all services provided directly or indirectly from Ontario Business Central Inc. pursuant to this written agreement with Ontario Businses Central Inc.
“OBC” shall at all times refer to Ontario Business Central Inc.
- There are no representations or warranties, expressed or implied, oral or written, in fact or by operation of law and otherwise, except as herein expressly stated. In no event shall OBC be liable for any direct, indirect, special or consequential damages for any reason whatsoever including any arising out of customer’s access to or use of services, data, or reports provided by OBC, including the responsibility or liability resulting from the inaccuracy and/or omissions of Nuans databank pre-searches, Nuans reports, registration of small business and/ or the incorporation processing including any and all services available through OBC.
- OBC’s liability for direct damages resulting from OBC’s negligence or breach of contract in the execution of services provided shall be limited to the total charge for the services provided by OBC and the fees provided by the client without exception.
- The customer agrees to indemnify OBC and to hold it harmless from any loss or liability to the customer, or any third parties for any injuries or damages caused by OBC’s negligence which result from the customers access to services provided by OBC.
- The customer acknowledges that OBC is subject to retrieval of information from third party databanks for retrieval of information requested or required by the customer. Under no circumstances will OBC be held liable and/or responsible for any inaccuracies and/or omissions by these third parties under any circumstances.
- The customer acknowledges that from the date of services provided by receipt the customer has 30 days to provide in all cases satisfactory evidence to any negligence or breach of contract in the execution of services provided by OBC to the maximum of the fees provided by the client to OBC for services rendered.
- The Client acknowledges and consents to Ontario Business Central and its accredited partners sending electronic communications to the Client's email address on file. The Client may opt out of receiving these communications by contacting Ontario Business Central in writing.
Fees and Minimum Service Charges
Once your order has been submitted to Ontario Business Central Inc. it is understood by you, the client, that the fees provided are considered non-refundable. Ontario Business Central Inc,. at its sole, discretion may choose to refund partial payment of the fees paid by the client if the submission has not yet been completed. A minimum fee of $20.00 will apply in all circumstances. The Province of Ontario does not provide refunds for any reason once a filing has been submitted. If a cancellation of an order was provided and acknowledge by Ontario Business Central Inc. prior to the government fee being disbursed, the client is entitled to a refund in the amount collected for the government fee.
When a change is requested from the original order submitted, a $20.00 plus hst fee is required.
The Province of Ontario does not provide a refund under any circumstance once payment has been received for filing.
YOU, THE CLIENT ALSO AGREE TO THE FOLLOWING
The following are the terms and conditions for the electronic filing of Articles of Incorporation under the Ontario Business Corporations Act (OBCA) with the Ministry of Government Services. Agreement to these terms and conditions by at least one of the incorporators listed in article 10 of the Articles of Incorporation is a mandatory requirement for electronic incorporation.
- The applicant is required to obtain an Ontario biased or weighted NUANS search report for the proposed name. The applicant must provide the NUANS name searched, the NUANS reservation number and the date of the NUANS report. The NUANS report must be kept in electronic or paper format at the corporation's registered office address.
- All first directors named in the articles must sign a consent in the prescribed form. The original consent must be kept at the corporation's registered office address.
- A Corporation acquiring a name identical to that of another corporation must indicate that due diligence has been exercised in verifying that the Corporation meets the requirements of Subsection 6(1) of Regulation 62 made under the OBCA. Otherwise, the Corporation is required to obtain a legal opinion on legal letterhead signed by a lawyer qualified to practise in Ontario that clearly indicates that the corporations involved comply with Subsection 6(2) of that Regulation by referring to each clause specifically. The original of this legal opinion must be kept at the Corporation's registered office address. The applicant must complete the electronic version of this legal opinion provided by one of the Service Providers under contract with the Ministry.
- The date of the Certificate of Incorporation will be the date the articles are updated to the ONBIS electronic public record database. Articles submitted electronically outside MGS, ONBIS access hours, will receive an endorsement date effective the next business day when the system resumes operation, if the submitted Articles of Incorporation meet all requirements for electronic incorporation. Articles of Incorporation submitted during system difficulties will receive an endorsement date effective the date the articles are updated to the ONBIS system.
- The electronic Articles of Incorporation must be in the format approved by the Ministry and submitted through one of the Service Providers under contract with the Ministry.
- Upon receipt of the Certificate of Incorporation issued by the ONBIS system, a duplicate copy of the Articles of Incorporation with the Ontario Corporation Number and the Certificate of Incorporation must be kept in paper or electronic format. The Ministry will print and microfilm copies of the Certificate of Incorporation, the Articles of Incorporation and any other documentation submitted electronically. These will be considered the true original filed copies.
- The sole responsibility for correctness and completeness of the Articles of Incorporation, and for compliance with the OBCA and all regulations made under it, lies with the incorporator(s) and/or their legal advisor(s), if any.
