Do I Have to Renew My Corporation in Ontario?

No, a corporation in Ontario does not “expire” or require a renewal like a Master Business License or Business Name Registration including Sole Proprietorship, General Partnership, or Trade Names. However, to remain in “Active” status, every corporation must file an Annual Return with the Province. While this was previously handled by the CRA, it is now a separate, mandatory legal filing. 3 Signs You Need an OBC Corporate Check-Up

If you aren’t sure if you’ve filed an Annual Return recently, look for these red flags:

  1. The “CRA Confusion”: You thought your accountant handled it with your taxes. (They likely didn’t—the process changed in 2021).
  2. Missing Company Key: You don’t have the 9-digit code needed for the government portal. (OBC can assist you in obtaining the company key).
  3. Banking Issues: Your bank is asking for a Certificate of Status or a “Profile Report” before they will renew your business credit line.

What to Do if You Haven’t Filed the Yearly Annual Returns?

  1. Order a Ontario Profile Report to see if and when you have filed the Annual Returns so you know how many years you are missing.
  2. We will email you a copy of your corporate profile report and on the last page of the profile, it will specify if the government has any or all annual returns on file.
  3. For any years that are missing, you can simply complete the Annual Return filing with us, selecting in each filing what year or years you are missing to have your company get completely up to date.

Where Do I Find What Annual Return Filings Have Been Completed?

When you obtain a corporate profile report, you simply review the most recent details to ensure their accuracy for office address, current directors names and addresses, NAICS code, and contact information.

If you go to the last page of the profile report, you will see the “Document List’, this provides a listing of any and all filings that have been completed for a corporation.

In this example, you can see the Articles of Incorporation were filed on Jan 1, 2019 followed by Articles of Amendment filed February 28, 2019. The Annual Returns for this corporation have also been listed one for 2023 and another for 2024. Once you review the document list of your own company, you can see if you have filed any Annual Returns and which ones if any are missing.

Once you know that, you can file the Annual Returns for any missing years. In this example, 2021, 2022, and 2025 need to be filed. If there have been no changes for the corporation, the filings must still be completed.
