A company key is required in Ontario whenever you complete a secondary filing to your original registration or incorporation, in other words, any time you update, change, cancel, or dissolve a business that already exists on the Ontario Business Registry.
Your original registration or incorporation does not require a company key, but almost every filing you make after that point does.

What a Company Key Actually is
Since February 2025, the Ontario Business Registry (OBR) has required a company key for transactions on existing entities. A company key is a unique, confidential access code, similar in spirit to a banking PIN, tied to your specific corporation or registered business. It confirms that the person filing has the authority to make changes to that entity’s public record.
Unlike a quick automated portal that lets anyone push a change through, the company key exists to protect the integrity of your corporate record. It is the single most common point where a do-it-yourself filing stalls, because business owners rarely have the key on hand the first time they need it.
When a Company Key IS Required
You will need your company key whenever you complete a secondary filing, any filing that comes after your original registration or incorporation. The most common situations include:
- Updating an Existing Business: Changing your registered address, directors, officers, business activity, or other details on a corporation or registered business name (a Notice of Change).
- Cancelling a Business: Cancelling a registered Business Name (sole proprietorship, partnership, or trade name).
- Dissolving a Corporation: Voluntarily winding down an Ontario corporation and removing it from the active registry.
If the filing changes, ends, or removes something on an entity that already exists, assume a company key is required.
When a Company Key is NOT Required
A company key is not required for your original transaction including your first registration such as a Sole Proprietorship or General Partnership or incorporation whether it be profit or not for profit. When you initially incorporate a corporation or register a new business name, you are creating the record for the first time, so there is no existing entity to protect yet. The company key is generated as part of that original filing, and you’ll need it for everything that follows.
