The Importance of Corporate Supplies

When you’re starting out your new corporation, you’ll want to keep things organized and have all your information easily accessible. Obtaining a corporate supplies package can help you establish and maintain your organization right from the start. Ontario Business Central offers you the option of including a comprehensive corporate supplies package with your order when your incorporation is registered or ordering it separately afterwards.

Order a Corporate Supplies Package

The Corporate Supplies package includes:

  • Burgundy Minute Book with Slipcase
  • Tabs, Inserts and Brass Plate for Minute Book
  • By-Laws (general) ** Only for Ontario Corporations **
  • Markmaker Seal
  • 20 Shares
  • Letter Size Register

As stated in the Canada Business Corporations Act (CBCA), a Canada corporation must keep records and important documents properly maintained, and there may be penalties that are incurred for not attending to your Minute Book.

This can include everything from your Articles of Incorporation, shareholders agreement, minutes of meetings and any other important corporate information that should be kept on hand. Typically, these documents are held within a corporate Minute Book.

There may be instances when Revenue Canada, accountants or other authorities may need to take a look at your minute book, so you’ll need to have it readily available in these cases.

Minute Book

With your corporate supplies package, you’ll receive an unorganized Minute Book, along with a Brass Plate, tabs and inserts. You can take these supplies, along with the corporate documents you already have to a corporate lawyer to organize them for you.

You’ll have your corporate name personalized on the brass plate on the spine of your book, along with a slipcase to keep it protected. Tabs and inserts let you easily keep documents organized for quick reference when they’re needed.

Corporate Seal

Although it’s no longer legally required for corporations to have a corporate seal, many still choose to use a seal to emboss their legal documents. There are also some banks and other institutions that still require agreements to be officially sealed with the corporate embosser.

With your corporate supplies package, you’ll get the markmaker model of the corporate seal.

Share Certificates

Shares are issued by the board of directors of a corporation and are the legal documents that specify the ownership for a corporation. Each share certificate states the number and class of shares that individual shareholders are entitled to. Your corporate supplies package comes with 20 blank share certificates included, that you may take to a corporate lawyer to have completed.

Amending Your Corporate Name

There are instances when you may find the need to change your corporate name. Whether you’re changing from a numbered corporation to a name, or changing your name to a new name, you may wish to order new corporate supplies to reflect that new name.

Ontario or Federal Corporate Amendment

Along with your corporate amendment, you can choose to have new corporate supplies included right in the order, so you’ll have the new corporate name on all of your supplies.
