To file Ontario Articles of Amendment, a manual filing with the Province is required with an original signature from a director. Most recently, the Province has provided the accessibility for the signatures to be in digital format for submission to their office.

You will provide the specifics to what is being amending from the original Articles of Incorporation. We will prepare the manual Articles of Amendment and send them to you for review and approval. When you have confirmed by email and approved the Articles of Amendment, you simply sign/scan and email/mail/courier the Articles of Amendment to our office for same day filing. If you are changing the corporate name, a Nuans report is mandatory and available as an option within your ordering process.

The government filing fee is $150.00

TIMEFRAME

The Articles of Amendment are filed manually. When your order is received, we prepare the documents and email them to you for approval according to the details you have provided. The documents are required to be signed by a director of the corporation and mailed/couriered back to us with original signatures on the documents. The documents are then filed with the Province of Ontario on a same day basis and completed.

We will do the following:

  • Prepare the documents according to your instructions
  • When a name change is requested, we will search and complete an Ontario NUANS report for the name change filing
  • Send the prepared documents to you by email for review, acceptance and request the mandatory original signatures from a director to be completed and mailed/couriered to our office
  • File the documents in person with the Province of Ontario
  • Act as a liaison between you and the Provincial Examiner managing your filing
  • Upon completion of the Articles of Amendment, the documents will be emailed with the originals being mailed to you.

Supplementary Letters Patent are documents specific to making changes to an existing Not for Profit/Charitable Corporation in Ontario. These are the reasons why individuals file Supplementary Letters Patent:

  • Change the Name of the Corporation
  • Change the object clauses
  • Change from a Not for Profit to a Charitable organization

To make any of the listed changes to your existing Ontario Not For Profit or Charitable organization, a manual filing called the Form 3 is required. The documents are to be completed in duplicate and original signatures are required by 2 current directors of the Corporation.

The government filing fee is $130.00

The government fee is an additional $150.00 when you are switching from a Not For Profit to Charitable organization.

TIMEFRAME

When the Supplementary Letters Patent has been submitted to the Province for review, the minimum amount of time is 35 business days. If you are changing to a Charitable Organization, there is an additional 4 weeks time delay.

We will do the following:

  • Prepare the documents according to your instructions
  • Search and complete an Ontario NUANS report when the change is to amend your corporate name
  • Send the prepared documents to you by email for review, acceptance and original signatures/scanned signatures
  • File in person the documents with the Province of Ontario
  • Act as a liaison between you and the Provincial Examiner managing your filing
  • Upon completion of the documents, the originals will be mailed and you will also receive an email copy.

When the Supplementary Letters Patent have been approved and accepted by the Province, you will receive back one copy of the completed documents and the Province will maintain the other copy of the documentation and add this to your corporate record. You will want to provide a copy to the organization’s financial institution, Revenue Canada, and any other governing body you may be affiliated with.
