Terms of Service

‘Customer’ refers to any person, firm or other entity who receives any and all services provided directly or indirectly from Ontario Business Central Inc. pursuant to this written agreement with Ontario Business Central Inc.

“OBC” shall at all times refer to Ontario Business Central Inc.

a) There are no representations or warranties, expressed or implied, oral or written, in fact or by operation of law and otherwise, except as herein expressly stated. In no event shall OBC be liable for any direct, indirect, special or consequential damages for any reason whatsoever including any arising out of customer’s access to or use of services, data, or reports provided by OBC, including the responsibility or liability resulting from the inaccuracy and/or omissions of Nuans databank pre-searches, Nuans reports, registration of small business and/or the incorporation processing including any and all services available through OBC.

b) OBC’s liability for direct damages resulting from OBC’s negligence or breach of contract in the execution of services provided shall be limited to the total charge for the services provided by OBC and the fees provided by the client without exception.

c) The customer agrees to indemnify OBC and to hold it harmless from any loss or liability to the customer, or any third parties for any injuries or damages caused by OBC’s negligence which result from the customers access to services provided by OBC.

d) The customer acknowledges that OBC is subject to retrieval of information from third party databanks for retrieval of information requested or required by the customer. Under no circumstances will OBC be held liable and/or responsible for any inaccuracies and/or omissions by these third parties under any circumstances.

e) The customer acknowledges that, from the date of services provided by receipt, the customer has 30 days to provide in all cases satisfactory evidence to any negligence or breach of contract in the execution of services provided by OBC to the maximum of the fees provided by the client to OBC for services rendered.

f) Fees and Minimum Service Charges

Once your order has been submitted to Ontario Business Central Inc. it is understood by you, the client, that the fees provided are considered non-refundable. Ontario Business Central Inc., at its sole discretion, may choose to refund partial payment of the fees paid by the client if the submission has not yet been completed. A minimum fee of $20.00 will apply in all circumstances. The government bodies do not provide refunds for any reason once a filing has been submitted. If a cancellation of an order was provided and acknowledged by Ontario Business Central Inc. prior to the government fee being disbursed, the client is entitled to a refund in the amount collected for the government fee.

The government bodies do not provide a refund under any circumstance once payment has been received for filing.

Privacy Policy

Ontario Business Central Inc. (collectively referred to as “we” and “us”) take the privacy and security of information provided by clients sincerely.

We have a strong commitment to those who use our services to handle the provided information with integrity, sincerity and the utmost care and diligence to protect the privacy of the information within our system from the submission of details forward.

We do not request nor require clients to set up an account. You are able to access our website and services without providing any details or may provide details required to complete a specific corporate transaction at your voluntary discretion. The information requested is solely for the purpose of fulfilling the requested transaction through our website. At no time, do we request or solicit any additional information from you that is not within the parameters of the requirements by each province or jurisdiction to complete the service selection. We will ask and gather information to allow us the opportunity to contact you by telephone and email as your order is being requested and the details of your credit card to obtain fees for service. The details requested depending on the request provided through us may include individual names, physical and mailing addresses, business activity, names of directors, officers, date of incorporation, business name/s, corporate or registration numbers, and additional personal information such as social insurance number, phone number, and email addresses.

On occasion, outside of providing specific details to a government body, we may be required to use a third party agent to complete your transaction such as an incorporation or registration in the Province of Alberta where only an agent is permitted to manage a file directly with the Provincial government. In this event, the Provincial government has done its due diligence to ensure the third party agent maintains integrity and security to maintain their agent status. We may provide details of your transaction, personal information and shipping address to suppliers solely for the purpose of completing your transaction.

Our website maintains encryption tools such as Secure Socket Layers (SSL) to protect your information as your details are gathered and submitted. We have the highest level of security available in Canada and maintain PCI Compliance to secure your credit card details as submitted.

Any information provided to us is maintained with the strictest of confidence and is used for the sole purpose of completing your desired corporate and or digital service. We will not share your information with any unrelated third party. We maintain your record for your retrieval at any given time.

Our policy is only to share any information whether present or historic with the person and email address provided with the original transaction with our firm. We will NOT share your information with a third party person or third party email address unless required to do so by court order or subpoena.

Security

As you process your order with us, the details of your transaction are encrypted along with your credit card numbers and CVV. Once the transaction has been completed and sent to our server, the details of your transaction are provided to our office exclusive of your credit card details. Those details remain encrypted within the completed transaction. Any and all printed materials are maintained in a locked setting and are regularly shredded by a third party supplier.

Payment Procedures

Our website lists the fees associated with any submission within the ordering page and we clearly provide the details of the costs including our fees, government and agent fees and taxation within the page. We maintain upfront pricing whereas, before you begin any transaction with us, you can view all fees that will be required to complete your desired transaction. The credit card transactions are available by you or by your written authority with us. We process your credit card details with the Merchant services of Netbanx which is a trademark of Paysafe Group Limited. They may be contacted at [email protected]or 1-888-709-8753. We have used Netbanx since 1992 for all credit card processing.

When you have provided the details of your requested service, and provided your credit card details, you will receive onsite notification if the credit card has been accepted or refused by your financial institution. When the credit card transaction has been approved, you agree to pay the fees associated with your specific request to us.

All singular or recurring fees will be charged to a credit card you authorize.

Cancellation of Order or Subscription

Once your order has been submitted with us, if you choose to cancel the requested service, and we have not begun your transaction, you can cancel and receive a full refund. If our staff has begun to work on your order but has not yet completed the transaction, you may obtain a partial credit including government disbursement fees. If the requested transaction has been completed on your behalf, there is no credit available. We believe in a circumstance where a client has opted out of a transaction with our firm, to work with the client to resolution.

Limited Liability

Ontario Business Central Inc. is acting as an agent on your behalf to complete transactions as your request. We are not a law firm and do not provide legal advice. It is assumed and understood by each client processing a request with our firm that the due diligence of any legal or other professional advice warranted has been obtained prior to submission and that the client has opted to a “do it yourself” transaction. It is also assumed that you using our website is at your discretion and risk. We do not warrant your use of our website, the operation or function offered within or from our site. We do not warrant that the site is error free, virus free, or free of any harmful elements. The information and content on our website is for general use and information only and does not provide a legal opinion or competent legal or other professional advice.

Under no circumstance will we have any liability to you or any other third party related to any service on our website outside of the fees provided to us in any event of any all claims and expenses including legal fees and disbursements, profit or revenue loss for any direct, indirect, special, consequential or punitive damage or costs related to anything you have requested with our firm.

Use of our website is at your sole discretion and understanding of the service request you are making and the administrative and legal consequences.

Our firm’s directors, officers, shareholders, employees, agents and suppliers will not be held liable for any and all claims and expenses associated with the use of our website, the completion of any submission through our website, written or verbal communication regarding your submission to us, instructions or directions.

Terms of Use

The terms listed may be changed or updated at any point. We invite you to use our website www.ontariobusinesscentral.ca , but please be aware of and agree to the terms of use as follows:

  • User must be over 18 and/or represent a third party who is 18 years of age
  • There is limited ability for someone with a criminal history to have an active business in Canada
  • You are or are representing a third party who has legal status in Canada or has advanced knowledge that there is ability to start or continue a business in Canada
  • You have not filed for bankruptcy or bankruptcy protection. If you have, you have confirmed with the trustee of your bankruptcy that you are able to set up or maintain a business
  • You have the ability and authority to bind yourself or your corporation
  • Your use of this website will comply with all Municipal, Provincial and Federal laws, regulations, rules
  • The contents of our website are solely owned and operated by Ontario Business Central Inc. including the content, images, graphs, designs, logos, videos, graphs, icons and photographs and is available for use to you for the exclusive uses of services listed on our website for your personal purposes only.

You are responsible for maintaining the secrecy of your account and we assume no responsibility for any claims or damages resultant for someone erasing or altering your account information as a result. It is important for you to protect against unauthorized access to your password and to your computer. Be sure to sign off when finished using a shared computer.

All physical goods purchased from Ontario Business Central are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the applicable carrier.

By shopping on our site and ordering products, you agree that you have read our policies and are bound by their conditions.

Glossary

Javascript:

A small program that helps add interactivity to a web page such as quickly telling you (typically with an alert box) if you’ve filled out a form properly or not.

Cookies:

Cookies are nothing more than simple text files that our site uses to keep track of your shopping cart contents. No personal information or tracking/monitoring is done with cookies on our site. Once you are finished shopping, the cookie is erased.

SSL:

(Secure Sockets Layer) This technology, built into modern browsers, allows you to communicate securely with our web site by encrypting (scrambling) all data you supply to us such as personal and credit card information. Because it is encrypted and only understandable between your browser and our web site, the information is a meaningless jumble to anyone else, since they don’t have the key that unlocks the secret combination. This means that you can rest assured that shopping on our site is safe and secure.

Returns are limited to unopened packages.

We respect your online privacy and security concerns. For this reason, and as noted above, all sensitive information that you give us is digitally encrypted and will never be sold to a third party. We do not engage in SPAM/unsolicited snail mail/e-mail practices. Your personal information is kept on file as a convenience for return visits, but your credit card information is not-this is done as a security measure.
