It is imperative for our team to engage in email correspondence with customers for any matters pertaining to an order. This protocol is in place to guarantee a mutual and comprehensive understanding of the specifics associated with a placed order. Adhering to email communication is a strategic measure designed to safeguard both parties against potential miscommunications, thereby upholding the integrity of our service and customer satisfaction.

Warranties and Liabilities

There are no representations or warranties, expressed or implied, oral or written, in fact or by operation of law and otherwise, except as herein expressly stated. In no event shall OBC be liable for any direct, indirect, special or consequential damages for any reason whatsoever including any arising out of customer's access to or use of services, data, or reports provided by OBC, including the responsibility or liability resulting from the inaccuracy and/or omissions of Nuans databank pre-searches, Nuans reports, registration of small business and/ or the incorporation processing including any and all services available through OBC.

OBC's liability for direct damages resulting from OBC's negligence or breach of contract in the execution of services provided shall be limited to the total charge for the services provided by OBC and the fees provided by the client without exception. The customer agrees to indemnify OBC and to hold it harmless from any loss or liability to the customer, or any third parties for any injuries or damages caused by OBC's negligence which result from the customers access to services provided by OBC.

The customer acknowledges that OBC is subject to retrieval of information from third party databases for retrieval of information requested or required by the customer. Under no circumstances will OBC be held liable and/or responsible for any inaccuracies and/or omissions by these third parties under any circumstances.

The customer acknowledges that from the date of services provided by receipt the customer has 30 days to provide in all cases satisfactory evidence of any negligence or breach of contract in the execution of services provided by OBC to the maximum of the fees provided by the client to OBC for services rendered.

At Ontario Business Central, we offer you transparency and flexibility when accessing credit for your website needs. We understand that unexpected circumstances can arise, and we don't believe in locking our customers into rigid, no-credit policies.

Cancellation Policy:

Full Credit

Limited Time Cancellation Window: Please note that cancellations for a full refund are only accepted within 30 minutes of placing your order during business hours. Business hours are weekdays from 9:00 AM to 5:00 PM EST.

Weekend and After-Hours Orders: Orders placed between 5:00 PM and 9:00 AM weekdays, or on weekends, are considered placed on the following business day at 9:00 AM EST. This means the 30-minute cancellation window begins at 9:00 AM on the following business day.

This cancellation window is not available for any and all corporate searches including due diligence requests, rush/instant service requests and preliminary searches and NUANS Report requests.

Orders in Mid-Completion:

Once a file has begun to be processed, cancellations are no longer eligible for a full refund. However, we understand that unforeseen circumstances may arise. In such cases, you are entitled to a 50% refund of our fees, excluding unused government fees, based on the stage of completion at the time of the cancellation request.

Please note:

  • Requests for partial refunds for orders in mid-completion must be submitted in writing within 30 days of the original order date.
  • Decisions on partial refunds are made at the discretion of Ontario Business Central, taking into account the specific circumstances of each case.

Completed Requests:

  • No refunds are available for completed requests. As the entire service has been performed as per your order, the full fee applies.
  • This includes situations where you may not be satisfied with the outcome or where you decide not to utilize the completed document/information after receiving it.
  • Please ensure you are confident in your order details and have reviewed all relevant information before proceeding.

Ontario Business Central reserves the right to terminate business relationships at our discretion. While we strive to maintain positive relationships with all our clients, certain situations may necessitate termination. However, we will always communicate clearly and provide reasoning for such decisions.

Examples of potential reasons for termination may include:

  • Abusive or threatening behaviour towards our team members: We prioritize a safe and respectful work environment for our employees. Any instances of verbal or written abuse, harassment, or threats towards our team members will not be tolerated.
  • Repeated violations of our terms and conditions: Our terms and conditions outline the acceptable use of our services and expected behaviour from clients. Repeated violations of these terms may result in termination.
  • Fraudulent or illegal activity: Engaging in any fraudulent or illegal activity in connection with our services is strictly prohibited and will result in immediate termination.
  • Non-payment of fees: We require timely payment of fees for our services. If outstanding balances remain unpaid after reasonable attempts to resolve the issue, we may be forced to terminate the relationship.
  • Disruptive or harmful behaviour: Any behaviour that negatively impacts our ability to serve other clients or disrupts our operations may lead to termination.

Important Notes:

  • We will always attempt to communicate directly with the client and discuss potential issues before terminating the relationship.

Making Changes to Your Order with Ontario Business Central

We understand that sometimes you may need to change your order after it's been placed. We're happy to accommodate modifications when possible, but there are a few things to keep in mind:

What You Can Change:

  • You can request to alter, add, or remove items or services from your original order.

Fees:

  • There is a non-refundable administration fee of $30 for each modification request.
  • If your changes increase the total price, you'll need to pay the difference.
  • If your changes decrease the total price, you'll receive a credit, minus the $30 fee (minimum credit of $5).

How to Request Changes:

  • Contact us by email before your order is completed. Be sure to include your order number and detailed information about the changes you want.

Important Notes:

  • We cannot guarantee all modification requests. We'll consider availability, feasibility, and our own discretion when making a decision.
  • Modifying your order may delay its completion. We'll provide you with an updated timeframe if necessary.
  • Once your request is accepted, you'll receive an email confirmation with the changes, new fees, and a revised completion date.

Ontario Business Central strives to provide timely and efficient service for all our clients. However, due to the complex nature of some filings and unforeseen circumstances, there may be occasions where processing extends beyond the initial projected timeframe.

To ensure fairness and manage resource allocation effectively, we have established a policy regarding file closure and refunds:

  • Automatic File Closure: Files will be considered closed and ineligible for refunds after a period of 6 months from the original submission date.
  • Client Responsibility: It is the client's responsibility to actively communicate with Ontario Business Central regarding any filing that has not been completed within the expected timeframe.
  • Our Efforts: We understand the importance of keeping clients informed. We make diligent efforts to provide regular updates and communicate any delays promptly.
  • Exceptions: In exceptional circumstances, such as documented delays caused by external factors beyond our control, we may consider extending the closure time frame or offering partial refunds on a case-by-case basis.
