Articles of Revival are essential documents that bring an existing corporation that has been cancelled back into good standing with Corporations Canada and to have the corporation be operational once again.

There are a number of reasons a corporation is dissolved but the most common reason is for not filing the mandatory Annual Returns.
Federal corporations in Canada are required to file an annual return with Corporations Canada. This return provides updated information about the corporation, including details about its directors and registered office the federal register.
A corporation can be voluntarily dissolved when its owners decide to cease operations. This involves settling debts, distributing assets, and filing dissolution documents with authorities. Once dissolved, the corporation cannot be revived.
Inability to pay debts leading to bankruptcy.
A corporation can be dissolved by the Canada Revenue Agency for failing to pay required fees and taxes. If these financial obligations are not met, the CRA can cancel the corporation's status, effectively dissolving it.
Not maintaining a current registered office address.
Dissolution ordered by a court for reasons such as fraud or illegal activities.
If the corporation was canceled for missing its Annual Return filings, you will be required to file the two most recent Annual Returns. Any change to the registered head office must be included as well as any changes to directors, including names and addresses. There are additional fees to complete the Annual Return filings. You can include two Annual Returns with your Federal Revival order, or file them yourself once the Revival is complete. The federal examiner may also request documents showing the corporation has remained active since the date of dissolution.
Federal Articles of Revival can be completed for corporations that were dissolved for not filing the mandatory Annual Returns. Ontario Business Central can assist you with a corporation that has been dissolved for two years or less.
We will prepare the Articles of Revival on a same day basis and submit them directly to the federal government. The processing time with the federal government can take up to 10 business days.
It is recommended once the revival has been completed and the corporation is again active to notify the Canada Revenue Agency of the change in status for this particular corporation.
