This form allows for filing Ontario Articles of Revival. If your corporation has been dissolved, it can be revived under certain circumstances. Please read the requirements below carefully before placing your order.
If a corporation fails to pay its annual fees or taxes as required by law, it may be dissolved by the government.
A corporation may choose to voluntarily dissolve if it is no longer operating or if its members decide to cease its existence.
Corporations must comply with various legal requirements, such as holding annual meetings, maintaining accurate records, and following corporate governance procedures. Failure to do so may result in dissolution.
Corporations in Ontario are typically required to file annual returns with the government office responsible for corporate registrations. Failure to do so can lead to dissolution.
If a corporation becomes bankrupt and its assets are liquidated, it may be dissolved as part of the bankruptcy proceedings.
If a corporation fails to meet other legal requirements imposed by Ontario's laws or regulations, it may face dissolution.
Annual Returns/Special Notices
If a corporation was dissolved by the Ministry of Public and Business Service Delivery, any Annual Returns that were not filed will have to be submitted along with our fees and the government fees. When you submit your Articles of Revival, we will be able to ascertain what additional filings and payments may be required. The Annual Return filings began in Ontario in 2021 after a new system called the Ontario Business Registry was launched by the province. Each year, every Ontario corporation is required to file an Annual Return, whether or not any changes to the corporate information occurred.
The Articles of Revival can be completed for non filing of the yearly Annual Return filings or non payment with the Canada Revenue Agency.
It takes 2 to 3 business days to revive the corporation.
It is always a good idea to inform them and forward a copy of the Articles of Revival so that the CRA is directly aware of the corporation's revival.
