Why do people change their corporate structure?

If a corporation is created with a simple structure, in terms of share classes, restrictions and provisions, this original structure may no longer effectively facilitate the shareholders involved in the corporation. A new structure may need to be added, to accommodate the changes to the business.

Example:

Current share structure: One class of common shares, voting

New Structure: two classes of shares, one voting, one non-voting, common and preference shares

Why do people change the minimum and maximum number of directors?

Often the directors listing on a corporation are either more or less than the original listed parameters of the directors’ minimum and maximum directors listing. Simply stated, if you are looking to add or remove directors from the corporation, you may realize that the overall parameters of the directors listing don’t allow for this change.

Example:

(currently you have 3 directors but want to add a fourth director)

Current Parameters: Minimum of 1 Maximum of 3 (don’t have room for 4th director)

New Parameters: Minimum of 1 Maximum of 10 (allow flexibility to add/remove directors)
