British Columbia is one of the only jurisdictions which offers the availability of non residents of Canada to be directors, officers, and shareholders of a corporation within Canada.

The Initial Notice and Notice of Change are the same form. The difference between the two is whether it is a first time filing (Initial Notice) or subsequent filing (Notice of Change).

An Extra Provincial Licence (EPL) is available to foreign corporations (outside of Canada) that wish to obtain a business presence within the Province of Ontario.

British Columbia Incorporation

This is the only Provincial Incorporation where you can incorporate without requiring a Canadian Citizen or Permanent Resident to be a director of the corporation. As a new or non-resident to Canada, you can incorporate as the sole director and owner.

What if I Want to Incorporate in Another Province Outside of B.C.?

The only options would be to request a family member or friend who is either a Canadian Citizen or Permanent Resident to become a partner within the corporation as the requirement is to have at least 25% be Canadian Citizen or Permanent Resident. This puts a significant responsibility on both of you, as the business owner, and the person who is willing to operate the business with you.

We can assist you to incorporate within any of these Provinces or to incorporate a Federal incorporation within Canada. A physical address for the business will be required within the chosen Province.

An Existing Corporation Outside of Canada That Wants to Operate Within Ontario

If you have an existing corporation outside of Canada and you wish to set up a branch division of your corporation into the Province of Ontario within Canada, please select the Extra Provincial Licence. It does not require the directors to be Canadian Citizens or Permanent Residents, but does require a physical address for the business in Ontario and an agent for service who resides within Ontario.

An Existing Corporation Inside Canada but Outside of Ontario

If you have an existing corporation in Canada and wish to set up a branch division of your corporation into Ontario, please select the Form 2 option.

The process is simple and can be completed online. The Ontario incorporated number will be provided once the Form 2 has been completed. This is not a separate incorporation from your existing corporation but an extension.
